1. Vereinbarung über einen Auftrag zur Durchführung einer Werbekampagne

Das werbende Unternehmen (nachfolgend: «der Kunde») beauftragen die Working Bicycle AG zur Durchführung einer Werbekampagne im Umfang eines individuellen Angebotes oder der vom Kunden online zusammengestellten Werbekampagne.

2. Organisation und Durchführung

Der Auftrag enthält die Organisation einer Werbekampagne mit dem Einsatz von Werbeboxen, welche auf dem Gepäckträger von Fahrradfahrer/innen montiert sind. Dabei gilt die Werbebox als zentrales Werbemittel, welche auf allen fünf Seiten durch Werbefolien mit der Werbebotschaft des Kunden versehen wird. Die Working Bicycle AG ist zuständig für die Produktion der Werbefolien, der anschliessenden Ausrüstung der Werbeboxen sowie der zeitgerechten Ausstrahlung. Für eine reibungslose Durchführung der Kampagne muss der Kunde vier Wochen vor Beginn der Kampagne die abzubildende Werbebotschaft einreichen. Die Working Bicycle AG organisiert den vereinbarten Montagetag und ist für die Befestigung der Werbeboxen verantwortlich. Working Bicycle AG weist die Fahrradfahrer/innen auf die sorgfältige Ausführung der Werbekampagnen hin, haftet aber nicht für die sorgfältige Auftragserfüllung der Drittpartei.

3. Beschreibung der gewählten Werbekampagne

Zur Erlangung einer genügend grossen Reichweite beauftragt der Kunde die Working Bicycle AG die gewünschte Anzahl Fahrerflächen aus dem bestehenden Fahrer-Pool auszuwählen. Working Bicycle AG ist bestrebt während der gesamten Dauer der Werbekampagne die gleichen Fahrer/innen einzusetzen, sie ist aber nicht dazu verpflichtet. Die Dauer der Kampagne wird (gemäss dem vom Kunden unterzeichneten oder via E-Mail bestätigten Angebot) verbindlich definiert und beträgt mindestens eine Woche. Kann diese aufgrund von äusseren, nicht von Working Bicycle AG verschuldeten Umständen nicht durchgeführt werden, hält sich die Working Bicycle AG das Recht vor, die notwendigen Massnahmen ohne Rücksprache mit dem Kunden vorzunehmen. Working Bicycle AG ist zuständig für ein transparentes Reporting, welches dem Kunden nach der durchgeführten Kampagne zur Verfügung gestellt wird.

Das Reporting beinhaltet folgende Auswertungspunkte:

• Übersicht über die gebuchte Anzahl Fahrer/innen und Anzahl Tage der Werbekampagne;

• Vereinbarte Anzahl Kilometer und effektiv gefahrene Kilometer;

• Abbildung aller Fahrten und Abstellorte der Werbeboxen sowie deren Standzeiten an ausgewählten Standorten;

• Zusatzinfos zur Kampagne (Bilder, Impressionen)

4. Dauer der Vereinbarung

Der Auftrag tritt durch die Annahme (Bestätigung via E-Mail oder Unterzeichnung) eines von der Working Bicycle AG unterbreiteten Angebotes in Kraft. Die Werbekampagne beginnt an einem vom Kunden vordefinierten Datum und endet nach Ablauf der Werbedauer. Der vorliegende Auftrag kann von einer Vertragspartei unter Berücksichtigung von Art. 404 Abs. 2 OR jederzeit gekündigt werden. Hat die Working Bicycle AG bis zum Zeitpunkt eines allfälligen Widerrufs bereits unwiderrufliche Aufwendungen getätigt, hat sie Anspruch an dem bis anhin entstandenen Aufwand inklusive anteilsmässigem Gewinn. Der genannte Anspruch ist unter «Vorzeitiger Widerruf des Auftrages» ausgeführt.

5. Entschädigung

Der geschuldete Betrag der gebuchten Werbekampagne ist drei Wochen vor Beginn der Werbekampagne auf das vordefinierte Bank- oder Postkonto der Working Bicycle AG zu überweisen.

6. Vorzeitiger Widerruf des Auftrages

Der Kunde kann nach Vertragsabschluss den Auftrag zur Durchführung einer Werbekampagne mit nachstehenden Kostenfolgen widerrufen. Die Working Bicycle AG ist vom Kunden mittels eingeschriebenen Briefs über den Widerruf zu informieren, wobei das Eingangsdatum der Information bei Working Bicycle AG massgebend ist. Zu beachten sind nachstehende Kostenfolgen (jeweils in % des Rechnungsbetrages inkl. MwSt.):

• Ab Auftragseingang bis 8 Wochen vor Kampagnenbeginn: 20%

• 7 bis 6 Wochen vor Kampagnenbeginn: 50%

• Ab 5 Wochen vor Kampagnenbeginn: 100%

Teilrückritte und zeitliche Verschiebungen in Folgeperioden sind Rücktritten gleichgestellt.

7. Eingang des Druckdesigns

Für eine reibungslose Durchführung der Kampagne muss der Kunde vier Wochen (20 Arbeitstage) vor Beginn der Kampagne die abzubildende Werbebotschaft gemäss den Spezifikationen der Übersicht «Datenlieferung» einreichen (auf der Webseite https://www.workingbicycle.ch/home/company zugänglich). Die Working Bicycle AG verweist bei Nichteinhaltung der verbindlichen Zustellungsfristen der Druckdesigns auf nachfolgende Kostenfolge:

• Bei einer Vorlaufzeit von 10-19 Arbeitstagen fallen zusätzliche Expresskosten gemäss der aktuellen Übersicht «Preise und Konditionen» an (auf der Webseite https://www.workingbicycle.ch/home/company zugänglich).

• Ab einer Vorlaufzeit von 20 Arbeitstagen werden keine zusätzlichen Expresskosten verrechnet.

Eine nicht der Übersicht «Datenlieferung» entsprechende oder verspätete Lieferung der Druckdesigns führt dazu, dass die Working Bicycle AG den rechtzeitigen Kampagnenbeginn nicht garantieren kann und entsprechend dafür nicht haftbar gemacht werden kann. Allfällige Kostenfolgen oder gar Kampagnenabsagen durch Nichteinhaltung der Frist sind vom Kunden zu tragen. Dabei gelten die gleichen Bedingungen wie unter «Vorzeitiger Widerruf des Auftrages».

8. Gerichtsstand

Als Gerichtsstand für Streitigkeiten aus den vorliegenden Allgemeinen Geschäftsbedingungen wird Rheinfelden vereinbart.

Dieser Vertrag untersteht schweizerischem Recht.

Data protection declaration for the use of the Working Bicycle App

If you use the Working Bicycle app, you agree to the following terms:

1) Scope of data processing

The app can be used if you have created a profile via the app or via the Working Bicycle AG website at workingbicycle.ch. You can log in to the app or website with the corresponding email address and password. After that, you can scan the QR code on the advertisement box with your phone to mark the start of the trip. You can do the same at the end of your trip to notify the server of the end of the trip. When using the app, personal data about your location is collected by sending the GPS data to the server via your mobile phone while cycling (see Section 2). In addition, the travel time, the kilometers traveled and the number of trips are calculated using the collected GPS data. If you choose "discard" on the app at the end of your journey, no data will be transmitted to the server. This data can be visualized and evaluated by the administrators using appropriate software programs. However, no personal data will be passed on to third-party companies. Only the individual coordination points (without information on time or person) can be visualized and evaluated. The location data we collect depends on your device and account settings. For example, you can turn on or off your phone's location tracking under "Settings" on your device. However, by disabling location tracking, our app can no longer be used. Activating the location tracking is therefore a mandatory requirement for using the app.

2) Data Storage

The location data is stored on the Google Cloud servers, and the Google cluster is located in Switzerland. Only the administrators of Working Bicycle AG have access to this data. As an exception, the development company jkweb AG can also access the data for maintenance purposes.

3) Purpose of data processing

With the help of the collected location data, Working Bicycle AG can check the route traveled by the individual cyclists and thus, their compliance with the Code of Conduct. Working Bicycle AG can also win companies for future advertising campaigns based on the data collected. The companies can be shown which route the cyclists actually cover, which can emphasize the effectiveness of the advertising by Working Bicycle. The cyclists benefit directly from an increase in the campaigns, as this results in more opportunities for them to participate. A transfer of personal data to the advertising companies is excluded and in no way represents the purpose of this app.

This Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your information when You use the Service and tells You about Your privacy rights and how the law protects You.

Collecting and Using Your Personal Data

Personal Data

While using Our Service, We may ask You to provide Us with certain personally identifiable information that can be used to contact or identify You. Personally identifiable information may include, but is not limited to:

• E-Mail address;
• First name and last name;

• Address, State, ZIP / Postal code, City;
• Usage data;
• GPS Location / Pictures.

Usage Data

Usage Data is collected automatically when using the Service. We may collect certain information automatically, including, but not limited to, the type of mobile Device You use, Your mobile device unique ID, the IP address of Your mobile Device, Your mobile operating system, the type of mobile Internet browser You use, unique device identifiers and other diagnostic data.

Information Collected while Using the Application (GPS Location / Pictures)

While using Our Application, in order to provide features of Our Application, We may collect, with Your prior permission:

• Information regarding your location
• Pictures and other information from your Device’s camera and photo library

We collect GPS data while You use the tracking feature of Our Application. We utilize background location tracking, which will collect this data even if Your phone is locked or suspended. If you choose 'discard' in the app at the end of your ride, no data will be sent to the server. In addition, travel time, mileage, and number of trips are calculated based on collected GPS data. This data can be visualized and evaluated by the administrators using appropriate software (e.g., Google Maps or Microsoft Excel). However, no personal data is passed on to third-party companies. Only the individual coordinate points (without information on time or person) can be visualized and evaluated. The location information we collect depends on your device and account settings. For example, in the 'Settings' of your Device, you can enable or disable location tracking on your smartphone. Though, by deactivating site tracking, our app can no longer be used. Activation of the location services is therefore a mandatory requirement for using the app.

Use of Your Personal Data

With the help of the collected location data, Working Bicycle AG can check the distance traveled by the individual riders and thus the adherence to the riding instruction. In addition, Working Bicycle AG can use the collected data to acquire companies for further campaigns.  

The companies can be shown which route the riders actually put down, whereby the effectiveness of an advertisement by Working Bicycle can be highlighted. The riders benefit directly from an increase in the number of campaigns since they offer them more opportunities to participate. A personal data transfer to the advertising companies is excluded and in no way represents the purpose of this Application.

In addition, We may use Personal Data for the following purposes:

• To provide and maintain Our Service, including to monitor the usage of Our Service.
• To manage Your Account: to manage Your registration as a user of the Service. The Personal Data You provide can give You access to different functionalities of the Service that are available to You as a registered user.
• To contact You: To contact You by email, telephone calls, SMS, or other equivalent forms of electronic communication, such as a mobile application's push notifications regarding updates or informative communications related to the functionalities, products or contracted services, including the security updates, when necessary or reasonable for their implementation.
• To provide You with news, special offers and general information about other goods, services and events which we offer that are similar to those that you have already purchased or enquired about unless You have opted not to receive such information.  
• For other purposes: We may use Your information for other purposes, such as data analysis, identifying usage trends, determining the effectiveness of our promotional campaigns and to evaluate and improve Our Service, products, services, marketing and Your experience.

Retention of Your Personal Data

The Company will retain Your Personal Data only for as long as is necessary for the purposes set out in this Privacy Policy. We will retain and use Your Personal Data to the extent necessary to comply with our legal obligations (for example, if we are required to retain your data to comply with applicable laws), resolve disputes, and enforce our legal agreements and policies.

The Company will also retain Usage Data for internal analysis purposes. Usage Data is generally retained for a shorter period of time, except when this data is used to strengthen the security or to improve the functionality of Our Service, or We are legally obligated to retain this data for longer time periods.

Transfer of Your Personal Data

We also disclose personal data to third parties within the scope of our business

activities and the purposes (cf. above), to the extent permitted and deemed

appropriate, either because they process it for us or because they want to use

it for their own purposes.  

This involves the following posts in particular:

• Service providers of ours (such as banks, insurance companies), including order processors (such as: IT providers);
• Dealers, suppliers, subcontractors and other business partners;

• Authorities, official agencies or courts;
• Media;

Your consent to this Privacy Policy followed by Your submission of such information represents Your agreement to that transfer.

The Company will take all steps reasonably necessary to ensure that Your data is treated securely and in accordance with this Privacy Policy and no transfer of Your Personal Data will take place to an organization or a country unless there are adequate controls in place, including the security of Your data and other personal information. 

Storage of Data

The location data is stored on Google Cloud servers and the Google Cluster is

Disclosure of Your Personal Data

Business Transactions

If the Company is involved in a merger, acquisition or asset sale, Your Personal Data may be transferred. We will provide notice before Your Personal Data is transferred and becomes subject to a different Privacy Policy.

Law enforcement

Under certain circumstances, the Company may be required to disclose Your Personal Data if required to do so by law or in response to valid requests by public authorities (e.g., a court or a government agency).

Other legal requirements

The Company may disclose Your Personal Data in the good faith belief that such action is necessary to:

• Comply with a legal obligation;
• Protect and defend the rights or property of the Company;

The security of Your Personal Data is important to Us, but remember that no method of transmission over the Internet or method of electronic storage is 100% secure. While We strive to use commercially acceptable means to protect Your Personal Data, We cannot guarantee its absolute security.

Children’s Privacy

Our Service does not address anyone under the age of 13. We do not knowingly collect personally identifiable information from anyone under the age of 13. If You are a parent or guardian and You are aware that Your child has provided Us with Personal Data, please contact Us. If We become aware that We have collected Personal Data from anyone under the age of 13 without verification of parental consent, We take steps to remove that information from Our servers.

1a) No advertising box installed yet

• I will be there on time for the assembly date to have the advertising box installed. If I don't show up, I will be charged CHF 15 for the expenses incurred.

1b) Old advertising box installed

• I show up punctually for the assembly date to have the new advertising box installed. If I don't show up, I will be charged CHF 15 for the expenses incurred.

1c) New advertising box installed

• I change the advertising foils on the start date of the campaign.

2) If I am unable to take part in the advertising campaign at short notice, I will unsubscribe up to 90 hours before the start. If I cancel at even shorter notice, I will contact Working Bicycle directly so that a solution can be found (e.g. find a replacement).

3) I drive at least ten kilometers per campaign week (compensation with other campaign weeks is not possible).

4) I drive on at least three different days per campaign week (compensation with other campaign weeks is not possible).

5) In the event of problems (e.g. illness, damage to the advertising box or problems with the app), I will contact Working Bicycle proactively and as early as possible whenever possible.

6) If I do not comply with the rules of conduct, I risk deductions from my remuneration and other restrictions. This can lead to termination of the cooperation.

7) I obey the traffic rules and am aware of my role as a representative of the advertising company. We also strongly recommend wearing a bicycle helmet.

8) I act in my own name and on my own account. This means that I am independently liable in the event of accidents and pay the social security contributions I have to pay myself. I am not obliged to travel a specific route. I am also not part of Working Bicycle's operations and am not dependent on them. As a result, I have the opportunity to enter into further employment and contractual relationships at any time.
